Welcome to Toolwiz, a platform provided by Toolwiz FZCO, Dubai, UAE ("we," "us," "our"). These Terms and Conditions ("Terms") govern your access to and use of the Toolwiz platform and website located at www.toolwiz.ai, including any related services, workflows, tools, marketplace, affiliate programs, and integrations ("Services").

By accessing or using Toolwiz, you agree to comply with and be legally bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Services.

1. Definitions

  • Toolwiz: A cloud-hosted AI-powered platform allowing users to create, run, share, and monetize workflows and tools.
  • Users: Individuals or entities who register and use the platform.
  • Workflows and Tools: Automated procedures and software tools created or run using Toolwiz.
  • Marketplace: A platform section where users can share, sell, and buy workflows and tools.
  • Affiliate: Users participating in the affiliate program to refer new users and earn commissions.

2. Account Registration

You must register an account through Auth0 authentication services to use Toolwiz. You agree to:

  • Provide accurate, current, and complete account information.
  • Maintain the security of your password and credentials.
  • Accept responsibility for all activities under your account.

3. User Responsibilities

You agree NOT to use Toolwiz for any of the following purposes:

  • Any illegal or unauthorized activities.
  • Creating or distributing malicious software or content.
  • Violating intellectual property rights.
  • Fraudulent, deceptive, harmful, or abusive actions towards Toolwiz or other users.

4. Marketplace and User-Generated Content

Users may publish workflows and tools in the Toolwiz marketplace.

By doing so, you agree:

  • You own or have proper rights to all content you publish.
  • You grant Toolwiz a non-exclusive, royalty-free, worldwide license to host, distribute, market, and facilitate sales of your content on the marketplace.
  • You agree to comply with all applicable laws and regulations in publishing content.
  • Toolwiz reserves the right to remove or disable content without prior notice if it violates these Terms or applicable laws.

5. AI-generated Content and Services

Toolwiz leverages AI technology to automatically create workflows and tools on demand.

You acknowledge and agree:

  • Toolwiz makes no warranties or guarantees regarding the accuracy, completeness, functionality, or quality of AI-generated content or tools.
  • AI-generated workflows and tools are provided on an "as is" and "as available" basis.

6. Payments and Billing

Payments on Toolwiz, including marketplace transactions and affiliate commissions, are processed securely via Stripe.

You agree to:

  • Provide accurate billing information.
  • Pay fees associated with purchased tools or subscriptions promptly.
  • All payments are non-refundable unless explicitly stated otherwise in writing by Toolwiz.

Toolwiz reserves the right to change fees or introduce new fees with advance notice to users.

7. Affiliate Program

Toolwiz operates an affiliate program.

Affiliates must:

  • Comply with these Terms and all applicable laws.
  • Not use deceptive, misleading, or unethical promotional methods.
  • Understand commissions are paid according to Toolwiz's current affiliate commission structure published on the website, subject to change with notice.

Toolwiz may terminate or suspend affiliates who violate these Terms or engage in prohibited practices.

8. Third-party Integrations and Tracking

Toolwiz integrates with external services such as Auth0 (authentication), Stripe (payments), and uses tracking services including Google Analytics, Matomo, and social media pixels.

You agree and acknowledge:

  • Toolwiz is not responsible for any third-party service issues, downtime, or data breaches.
  • Third-party integrations may have their own terms and privacy policies which you agree to abide by.

9. Privacy

Your privacy is important. Please review our Privacy Policy available on our website, which explains how we collect, use, store, and share your personal information.

10. Intellectual Property Rights

  • All content created by Toolwiz or its users remains the property of the respective creator unless otherwise explicitly licensed or transferred.
  • The Toolwiz brand, logo, and all proprietary features are trademarks or intellectual property owned exclusively by Toolwiz FZCO.

11. Disclaimer of Warranties

Toolwiz is provided "as is" and "as available." We make no warranties, express or implied, regarding the platform's reliability, accuracy, or suitability for any particular purpose.

12. Limitation of Liability

Under no circumstances shall Toolwiz FZCO, its directors, employees, affiliates, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use Toolwiz.

13. Indemnification

You agree to indemnify, defend, and hold harmless Toolwiz FZCO and its affiliates from any claim or demand, including attorney's fees, resulting from your use of the Service, your violation of these Terms, or infringement by you of intellectual property or other rights of any third party.

14. Changes to These Terms

Toolwiz reserves the right to update these Terms periodically. We will notify users via email or through the website. Continued use of Toolwiz following any changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates. Any disputes will be subject to the exclusive jurisdiction of the courts in Dubai, UAE.
